Welcome to Responsible AI Labs ("RAIL", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our AI safety evaluation platform, API services, and related tools (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By creating an account, accessing our API, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by:

• Any additional terms applicable to specific features or services

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that:

• You are at least 18 years of age
• You have not been previously suspended or removed from our Services
• Your use of the Services complies with all applicable laws and regulations
• All information you provide is accurate, current, and complete

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Email Verification

You must verify your email address to access our Services. We may require re-verification at any time to ensure account security and compliance.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer multiple subscription tiers (Free, Pro, Business, Enterprise) with varying features, credit allocations, and pricing. Current pricing and features are available on our pricing page.

4.2 Payment Terms

• Billing Cycle: Subscriptions are billed monthly or annually based on your selection
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Payment Methods: We accept payments via Razorpay (INR) and PayPal (USD)
• Currency: Prices are displayed in INR or USD based on your region and payment method

4.3 Credits and Usage

• Monthly Credits: Tier credits are allocated monthly and expire after 30 days if unused
• Topup Credits: Additional credits can be purchased (Free/Pro plans) and never expire
• Credit Consumption: Credits are consumed per API call based on endpoint and request complexity
• No Rollover: Unused monthly credits do not roll over to the next billing period

4.4 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days notice of any price increases. Continued use of the Services after a price change constitutes acceptance of the new pricing.

4.5 Refunds and Cancellations

• Cancellation: You may cancel your subscription at any time from your account settings
• Refunds: Subscriptions are generally non-refundable, except as required by law or at our discretion
• Credit Refunds: Unused credits (monthly or topup) are non-refundable upon cancellation
• Pro-rata Credits: Upon downgrade, remaining unused credits may be converted to admin grants with original expiry dates

5. API Access and Usage

5.1 API Keys

• You are responsible for maintaining the security of your API keys
• API keys must not be shared, published, or embedded in client-side code
• Maximum active API keys depend on your subscription tier
• We may revoke API keys that violate these Terms or pose security risks

5.2 Usage Limits and Fair Use

• Rate Limits: API requests are subject to rate limits based on your subscription tier
• Credit Limits: API usage is limited by available credits in your account
• Fair Use: You must not abuse, overload, or attempt to disrupt our Services
• Excessive Use: We may throttle or suspend accounts exhibiting abnormal usage patterns

5.3 API Data

You retain all rights to the data you submit to our API. By using our Services, you grant us a limited license to process your data solely to provide the Services and as described in our Privacy Policy and Data Usage Policy.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

6.1 Illegal or Harmful Use

• Use the Services for any illegal purpose or in violation of any laws
• Use the Services to harm, harass, or threaten others
• Generate, distribute, or facilitate harmful, discriminatory, or offensive content
• Attempt to circumvent content moderation or safety measures

6.2 Security and Integrity

• Attempt to gain unauthorized access to our systems or other users' accounts
• Probe, scan, or test the vulnerability of our systems without permission
• Use automated tools to scrape, crawl, or harvest data from our Services
• Reverse engineer, decompile, or disassemble any part of our Services
• Interfere with or disrupt the operation of our Services or servers

6.3 Abuse and Misuse

• Create multiple accounts to circumvent usage limits or bans
• Share, resell, or redistribute API access without authorization
• Use the Services to compete with or replicate our offerings
• Remove, obscure, or alter any legal notices or branding

7. Intellectual Property Rights

7.1 Our Property

The Services, including all software, algorithms, models, documentation, branding, and content, are owned by RAIL or our licensors and are protected by intellectual property laws. These Terms do not grant you any ownership rights to our intellectual property.

7.2 Your Data

You retain all intellectual property rights to the data you submit through our API. By using our Services, you grant us a non-exclusive, worldwide, royalty-free license to process, store, and analyze your data solely to provide and improve the Services as described in our Data Usage Policy.

7.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use, modify, and incorporate such feedback without compensation or attribution.

8. Service Availability and Modifications

8.1 Service Availability

We strive to provide reliable and uninterrupted Services, but we do not guarantee that our Services will be available at all times. We may experience downtime due to maintenance, updates, or unforeseen issues.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Services.

8.3 Beta Features

We may offer beta or experimental features that are provided "as is" without warranties. Beta features may be modified or discontinued at any time.

9. Termination

9.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings or by contacting us at legal@responsibleailabs.ai.

9.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable laws
• Fraudulent, abusive, or harmful behavior
• Non-payment of fees
• Extended periods of inactivity
• Protection of our Services, users, or third parties

9.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. We will retain your data as described in our Privacy Policy. Sections of these Terms that should survive termination (including intellectual property, limitation of liability, and dispute resolution) will remain in effect.

10. Disclaimers and Warranties

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors or defects will be corrected
• The Services will meet your specific requirements

You acknowledge that our AI evaluation tools are not a substitute for human judgment, professional advice, or comprehensive security assessments. You are solely responsible for your use of our Services and any decisions made based on our outputs.

11. Limitation of Liability

Our total liability to you for all claims arising from or related to the Services shall not exceed the greater of:

• The amount you paid to us in the 12 months preceding the claim, or
• $100 USD (or equivalent in your local currency)

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless RAIL and its affiliates, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your violation of any applicable laws or regulations
• Any data or content you submit through the Services

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts of Bhopal, Madhya Pradesh, India shall have exclusive jurisdiction over any disputes arising from these Terms.

13.2 Informal Resolution

Before filing a legal claim, you agree to contact us at legal@responsibleailabs.ai to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes through negotiation.

13.3 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Bhopal, Madhya Pradesh, India, in English, and the arbitrator's decision shall be final and binding.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Data Usage Policy, constitute the entire agreement between you and RAIL regarding the Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last updated" date
• Sending an email notification to your registered email address
• Displaying a prominent notice on our website or within the Services

Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and cancel your account.
